We can provide a full range of company secretarial support services through the life of a company, from incorporation to striking off and dissolution.
The service is run by qualified Chartered Secretaries (ACIS/FCIS) and advisors to public and private companies.
Our pricing structure is keen but also reflects the fact that you will receive a bespoke service from qualified and trained staff that are familiar with your individual needs and the history of your company.
By passing over your Company Secretarial workload, you are left with more time to concentrate on growing your core business without worrying that you have missed filing deadlines.
We offer a wide range of services – more details are given below:
Online access to Companies House and other research databases
At WY we have all the necessary bespoke software to give access to all the information that you would require to set up and manage your business going forward. We have trained staff that can access information on your behalf and produce updates and reports for all your Company Secretarial needs.
Incorporations
Setting up a new company requires the preparation of various legal documents and filling out of forms. This comes at a time when you already have a huge number of other issues to consider when starting out in business. We give you advice as to the best legal framework for your business – whether limited, plc, a partnership or a sole trader. We can oversee the whole process and produce all the necessary paperwork to save you time and worry. We can arrange for same day incorporations if required and will give you peace of mind that everything has been done and your business is legal and raring to go.
Company Maintenance
Once your company or partnership has been set up, you then need to consider the burden of ongoing maintenance of the records to comply with all the legal requirements. Again, we can help you with these time consuming and often worrying obligations. We will keep records of your company on our bespoke Company Secretarial software package which ensures that all important dates in your company’s calendar are flagged and prepared for well in advance.
Penalties exist for not submitting information in time to Companies House and other regulatory bodies, but our experienced staff will ensure that, as soon as you tell us of any changes in business or in directors, all the necessary amendments or additions are made within the legal deadlines to save you worry and penalty charges or, in the worst scenario, possible prosecution.
Restructuring: Sale/Merger/Acquisition
As your company grows you may wish to expand in other ways, such as merging or purchasing another company. You may also wish to re-register your company as a public limited company or purchase your own company’s shares. We can help with all of these scenarios by providing advice, due diligence and compliance reviews to ensure everything runs smoothly.
Dissolution
For different reasons you may not wish to continue with your company and we can help by advising on the best method to draw things to a close. We can deal with striking off under section 652 of the Companies Act 1985, and will provide you with advice and deal with any objections made.
The Receiver, Administrator or Liquidator appointed to dissolve your company will also require information from you, declarations to be made and board meetings held to pass various resolutions. We can assist with this process and made it as painless as possible.
Restoration
There are occasionally scenarios where companies need to be restored to the register of companies after being dissolved. We can deal with applications to restore companies and can give you advice and guidance on future actions.
Other Company Secretarial Services – including Disaster Recovery and Data Protection
As well as offering general business administration and advice on UK and EC regulations, we can provide you with a prestigious registered office address in Mayfair, London which will appear on all your business stationery. We will also deal with all the registered office address correspondence, particularly the legal requirements of Companies House and the Inland Revenue.
You could be running serous risks to your business by not having a comprehensive disaster recovery plan. We can carry out detailed risk analysis that will provide you with ways to mitigate your risks to ensure that any problems do not cause catastrophic harm to your business. It is not just the major terrorist threats that can do the most damage but often a combination of smaller events.
Every business now holds a database of some kind, but often has no idea whether or not they should be registered under the Data Protection Act, or whether they are holding and processing data about their customers in contravention of the Act. We can also offer advice and guidance on Data Protection issues to avoid any prospective pitfalls, so avoiding any fines or reprimands and giving you peace of mind.
